Welcome to Recruitment Startup. These Terms & Conditions govern your access to and use of our website https://www.recruitmentstartup.com.ng and the services we provide via the Site. By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not access or use the Site or Services.

1. Definitions

In these Terms, unless context otherwise requires:

• User or You means any individual or entity using or accessing the Site or Services (includes “Candidates” and “Employers/Clients”).
• Candidate means a user who seeks job opportunities, career guidance, empowerment programs, or applies for positions via the Site.
• Employer (or Client) means a user (company, organization, or individual) seeking to recruit, shortlist, or hire candidates via the Site.
• Services means all recruitment, candidate shortlisting, career guidance, training/empowerment, matching, listing, or other services made available via the Site.
• Content means text, graphics, images, audio, video, links, or other materials submitted, posted or displayed on the Site (including candidate profiles, job postings, guidance resources, etc.).

2. Applicability & Acceptance

1. These Terms apply to all Users of the Site and Services, whether as a guest, registered user, candidate, or employer.
2. By creating an account, clicking “I accept,” accessing, or using the Site/Services, you confirm you have the legal capacity to enter into these Terms and accept them in full.
3. We reserve the right to amend these Terms at any time. Any changes will be posted on the Site, and your continued use after changes constitutes acceptance of the revised Terms.

3. Account Registration, Credentials & Responsibilities

1. To access certain features, you must register and create an account as a Candidate or Employer (or both). You must provide accurate, current, and complete information.
2. You are responsible for maintaining confidentiality of your login credentials, and for all activity posted or done via your account.
3. You agree not to share your account, transfer your account, or allow others to use your account.
4. You must notify us immediately of any unauthorized use or security breach.

4. Candidate & Employer Obligations

4.1 Candidate Obligations

• You represent and warrant that all information you submit (resume/CV, educational background, work history, etc.) is truthful, accurate, and not misleading.
• You will not post or upload content that infringes third‑party rights (e.g. copyrights, privacy) or is unlawful, defamatory, abusive, obscene, or otherwise objectionable.
• You give us permission to use, store, process, and display your submitted information (in accordance with our Privacy Policy) to match you with employer opportunities, shortlisting, or career guidance.
• You accept that submission of applications or profiles does not guarantee an interview, offer, or placement.

4.2 Employer Obligations

• You represent that you have authority to publish job vacancies, recruit, and hire, and that all job postings comply with applicable local laws (e.g. labor laws, anti‑discrimination laws).
• You will provide truthful, complete, and up-to-date details for job postings (job title, description, qualifications, compensation, location, etc.).
• You agree not to post fraudulent, misleading, or deceptive job offers, or solicit user data for unauthorized or unethical purposes.
• You may only use candidate information obtained via our Services for legitimate recruitment processes; you agree not to share, resell, or misuse candidate data outside your hiring operations without our consent (and the candidate’s consent, where applicable).

5. Use License & Restrictions

1. Subject to your compliance with these Terms, we grant you a limited, nonexclusive, non-transferable, revocable license to access and use the Site and Services.
2. You must not:
   • Reproduce, duplicate, copy, sell, resell, or exploit the Site or Services for commercial purposes beyond your permitted use.
   • Modify, adapt, or reverse-engineer any part of the Site or Services.
   • Use the Site in a way that interferes with its proper functioning (e.g. unauthorized bots, scraping, data mining, interference, overloading).
   • Use the Site to transmit viruses, malware, or harmful code.
   • Post content that violates laws or these Terms, or impersonate others.
3. We reserve the right to suspend or terminate access for Users who breach these restrictions.

6. Intellectual Property

1. All intellectual property rights (copyrights, trademarks, trade marks, designs, database rights) in the Site, its content, software, layout, designs, logos, domain, graphics, and other materials remain with us or our licensors.
2. You may not use our trademarks or logos without prior written consent.
3. For content you upload (e.g. resumes, posts), you grant us a nonexclusive, royalty-free, worldwide, transferable license to use, reproduce, adapt, publish, translate, and distribute such content in connection with the operation, promotion, and improvement of the Site and Services.

7. Disclaimers, Warranties & Liability Limitation

1. No Guarantee of Placement / Outcome
   We do not guarantee that any Candidate will be shortlisted, interviewed, or hired. We act as a platform connecting Candidates and Employers; final hiring decisions rest with the Employer.
2. No Liability for Third-Party Content
   We are not liable for accuracy, completeness, or legality of job postings, candidate submissions, employer profiles, or any third-party content. Users must perform their own due diligence.
3. AS‑IS Basis & Disclaimers
   The Site and Services are provided “as is” and “as available” without warranties of any kind, either express or implied (including merchantability, fitness for a particular purpose, non‑infringement, or availability).
4. Limitation of Liability
   To the fullest extent permitted by law, in no event shall we, our affiliates, partners, employees or agents be liable for any indirect, incidental, special, consequential, punitive or exemplary damages (including lost profits, data loss, business interruption) arising out of or in connection with your use of the Site or Services, even if we were advised of the possibility of such damages.
   Our total aggregate liability under these Terms for any claim shall not exceed the amount you paid us (if any) for use of the relevant Services.
5. Indemnification
   You agree to defend, indemnify, and hold harmless RecruitmentStartup, its officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising out of or related to: (i) your breach of these Terms; (ii) your use of the Site or Services; (iii) content you submit; (iv) your violation of any law or rights of third parties.

8. Payment, Fees & Refunds

1. Where certain services (premium job posting, candidate search, training modules, paid empowerment programs, etc.) require payment, we will clearly state the applicable fees, billing terms, and payment methods.
2. All payments must be made in the currency specified, and before the service is delivered (unless otherwise agreed).
3. Unless otherwise specified, paid fees are non-refundable once the service is delivered or commenced.
4. We reserve the right to suspend or withhold Services to you if you fail to make timely payment.
5. In case of a dispute over payments, you’ll notify us within a certain period (e.g. 30 days).

9. Termination & Suspension

1. We may suspend or terminate your access, in whole or part, at any time, with or without cause, by giving notice (where feasible).
2. Upon termination:
   • Your license to use the Site/Services ceases.
   • We may delete or remove your account data (subject to our data retention policy and Privacy Policy).
   • Any outstanding obligations (e.g. fees, indemnities) survive termination.
3. Users may terminate their account at any time by following the prescribed process. Termination does not relieve you of obligations incurred prior to termination.

10. Modifications to the Service

We reserve the right to modify, discontinue, or suspend (temporarily or permanently) parts of the Site or Services (or features) with or without notice. We will not be liable to you or any third party for any modification, suspension or discontinuation.

11. Privacy & Data Protection

Your use of personal data and privacy is governed by our Privacy Policy, which is incorporated into these Terms. Please review it to understand how we collect, use, store, and share data, including GDPR or local Nigerian data protection obligations (if applicable).

12. Notices & Communications

13. Links & Third‑Party Sites

1. The Site may contain links to third-party websites, services, or resources over which we have no control. We do not endorse or assume responsibility for them.
2. You acknowledge and agree that we are not liable for damages or losses caused by your use of third-party sites.

14. Severability & Waiver

• If any provision of these Terms is held invalid or unenforceable under any applicable law, that provision will be deleted or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• No waiver of any term or failure to enforce will constitute a waiver of any other term.

15. Governing Law & Dispute Resolution

1. These Terms, and any dispute arising from them or your use of the Site/Services, shall be governed by and construed in accordance with the laws of Nigeria.
2. You submit to the exclusive jurisdiction of the courts in Nigeria for any dispute, provided that we may seek injunctive or equitable relief in any jurisdiction when necessary to protect our rights.

16. Miscellaneous

1. Entire Agreement: These Terms (together with the Privacy Policy and any additional terms referenced) constitute the entire agreement between you and us regarding the Site and Services, superseding any prior agreements.
2. Assignment: You may not assign your rights or delegate your obligations under these Terms without our prior written consent. We may assign these Terms in whole or part.
3. Force Majeure: We are not liable for failure or delay in performance due to causes beyond our reasonable control (e.g. natural disasters, strikes, internet outages).
4. Relationship of Parties: Nothing here creates a partnership, joint venture, employment, or agency relationship between you and us.
